Licensor: Esri (UK) Ltd, a company registered in England and Wales (company number 1288342), whose registered office is Millennium House, 65 Walton Street, Aylesbury, Buckinghamshire, HP21 7QG.
The Esri UK Online Order, together with the Licence Terms and Conditions, and any exceptions listed below, create a legally binding contract between your institution, organisation or company and the Licensor. Therefore please read the terms and conditions carefully and only submit an Esri UK Online Order if its terms and conditions are acceptable to your institution, organisation or company and you have the authority to make the financial commitment shown.
The Department and Site Licences are subject to the terms and conditions of the Esri Education Institution Agreement (G604).
By completing the Esri UK Online Order Form you confirm your acceptance that the Terms and Conditions will be adhered to. Please ensure that you read all the Licence Terms and Conditions before ordering:
Note that Esri Inc's Data Processing Addendum is incorporated into the Esri Master Agreement (E204CW) and that the Data Protection clauses in the Esri UK Terms and Conditions are supplemented by the following:
'Where Esri UK is acting as a Data Processor under the Agreement, Esri UK will process personal data strictly in accordance with the Data Controller’s written instructions. ‘Data Processor’ and ‘Data Controller’ shall be as defined in the UK General Data Protection Regulation (UK GDPR).
Esri UK shall not engage another data processor (a “sub-processor”) under the Agreement.'
Commitment Period
Once ordered, institutions are committed until 31 July 2029.
On receipt of a completed Esri UK Online Order and a corresponding Chest Online Order, sites will be invoiced for the Agreement year in which the licence is signed.
A licence year runs from 1 August to the following 31 July.
For each subsequent year, sites will be invoiced three months in advance of the anniversary date of the Agreement on 1 May to cover the period from 1 August to 31 July.
There is monthly pro-rata charging for sites which become licensed partway through a licence year.
Chest is an Enterprise of Jisc. All Purchase orders must be made out to Jisc Services Ltd, 4 Portwall Lane, Bristol, BS1 6NB to cover all charges plus VAT (i.e. both the Software fee and the Chest fee).
All terms contained in a PO are expressly rejected and do not form part of the Licence or vary the Licence terms in any way.
Payments are due within thirty days of invoice date; recipients of late payments are entitled to interest in accordance with UK statutory provisions.
At the end of the period of Agreement (31 July 2029), unless a new Agreement is negotiated between Jisc Services Limited and Esri UK, sites will either be required to delete the software from their systems and return media to Esri UK or to seek to license the software directly from Esri UK.
Unless otherwise stated, the following apply to both Department and Site Licence options:
Administration and Management of the Business of the Institution
Use of the software is allowed for administration and management of the business of the Institution under the Site Licence options only, as per the terms and conditions of the Agreement. See the Esri Education Products and Deployment Schedule for more information.
Home Use
Home Use is permitted (use by staff and students on personal devices is covered).
Virtualisation Use
Virtualisation Use is permitted - see section 3.1.d of the Esri Education Institution Agreement (G604). If software is virtualised on a 3rd party's infrastructure, you must notify Esri UK via e-mail.
Overseas Use
Overseas Use is permitted (subject to the Esri Legal Export Compliance restrictions on countries embargoed by the US government).
Commercial Use Prohibited
The commercial exploitation (including exploitation by commercial training) of the software is prohibited. Licences for commercial use can be purchased directly from Esri UK.
Paid for Research Prohibited
Under the Agreement, institutions are not allowed to use the software for paid-for research.
For example, paid-for research includes when a student/researcher is sponsored by a company to complete research and the company then owns the research for use in their commercial business. This is not allowed. If, however, a student/researcher is sponsored by a company to complete their PhD/project but the student/researcher's institution owns the outcome then this is allowed.
As home-use rights are already included as standard, personal licences are not required under this Agreement.
When ordering, please fill in BOTH the Esri UK and the Chest Online Order Forms (see below).
Institutions are committed until 31 July 2029. Please see the tables at the bottom of this page which show the pricing per year in UK Pounds (£s). All prices exclude VAT which shall apply at the appropriate rate.
Site Licence pricing is based on an institution's Esri Licence Band (Large, Medium or Small). In the UK, a Higher Education institution's Esri Licence Band is based on the size of its Jisc Band:
|
Esri Licence Band |
Jisc Band |
|
Large |
1 / 2 |
|
Medium |
3 / 4 / 5A / 5B |
|
Small |
6 / 7 / 8 / 9 / 10 |
Higher Education institutions in the Republic of Ireland, who do not have a Jisc Band allocated, have been placed in similar bands based on their 2024/25 full-time equivalent student numbers. See the Ireland Esri Licence Bands tab for a list of all Irish HE institutions.
All UK and Republic of Ireland Further Education institutions and museums are classified as a Small Esri Licence Band.
For other institutions that do not have a Jisc band or cross-mappable equivalent, Esri UK and Jisc will determine the Esri Licence Band on a case-by-case basis.
If in doubt about the appropriate Esri Licence Band for your institution, please get in touch.
Payment terms are shown on the Terms and Conditions Tab.
If you have any questions, please contact Chest Help.
